NETeffect Solutions LTD, a company duly incorporated under the laws of the Republic of South Africa (Registration No. 2000/003391/23, registered address: 3B Highway Gardens Office Park, 77 Minuach Road, Highway Gardens, Edenvale, Johannesburg, South Africa), hereinafter referred to as the "Company", represented by Director Harley Kaplan, acting on the basis of the Charter, hereby makes an offer to any individual or legal entity that has entered into a corresponding agreement with the Company for the use of the Service (hereinafter referred to as the "User"), for the purpose of using the Service, to also enter into a User Agreement for the use of the mobile application "NETeffect" under the terms set forth in this User Agreement.
"Media Content" — a collection of information on a specific subject, encoded in the form of digital image data, presented as photos, videos and audio, and/or in the form of an audiovisual work;
"Service" — "Service www.neteffect.co.za" — a specialized online service developed by and belonging to the Company, designed for managing Media Content displayed on User Devices.
"Device(s)" — technical devices (screens, monitors, projectors, etc. running on an operating system) designed for displaying/playing Media Content, with the capability to connect to the Licensee's network infrastructure.
"Mobile Application" — an application package used by the Android operating system, required to access the Service's functionality.
"Personal Account" — a User account created in the Company's system, used by the User to access and use the Service.
1.1. This User Agreement defines the terms and conditions for the User's use of the Mobile Application.
1.2. The Mobile Application is an integral part of the Service, through which the User is provided with the ability to use the Service's functionality.
1.3. In order to use the Service, the User must enter into a corresponding agreement with the Company.
1.4. A description of the functionality, minimum requirements for Devices used within the scope of the Service's functionality, and other characteristics of the Service for which the User may be granted rights to use the Service under a separately concluded agreement, are specified directly in such agreement.
1.5. To download the Mobile Application to the User's device and for further use of the Mobile Application, an identifier, login, password, number, Apple ID, or Google account may be required. The Company shall not be liable for any losses resulting from unauthorized use of access credentials.
1.6. The User is solely responsible for the security and confidentiality of access credentials.
1.7. The Company reserves the right to independently choose, at its own discretion, the methods of User identification within the Mobile Application.
2.1. The Company provides the User with access to the Service, including the Personal Account, on the day the Parties sign the corresponding agreement, by providing the User with login credentials, password, and registration information (hereinafter referred to as the "Account").
2.2. The User independently performs security checks, compatibility verification of their Devices, additional modules, firewalls, local network, etc. for the use of the Service's functionality, and configures them accordingly.
2.3. Through the Personal Account, the User has the ability to perform the following actions:
3.1. The Company warrants:
a) That it has the legal grounds to grant rights to use the Service and the Mobile Application.
b) The Service, Mobile Application, and accompanying documentation are provided to the Licensee in accordance with the internationally accepted "as is" principle.
3.2. The User warrants:
a) To respect the Company's copyrights, as well as the terms and conditions of use and operation of the Service and the Mobile Application.
b) Not to use the Service and the Mobile Application beyond the scope of the rights granted.
c) Not to provide third parties with access to the Service and the Mobile Application in a manner that would violate its confidentiality.
d) Not to perform any adaptation: modification, reverse engineering, decompilation, or disassembly of the Service and the Mobile Application.
4.1. All payments for the use of the Service are agreed upon directly in a separate agreement concluded between the User and the Company.
No personal data is collected by our application. This section only specifies the permissions requested for the proper operation of the application.

Granting the necessary permissions is a prerequisite for entering into an agreement with you. Without the provision of the corresponding permissions on your part, we will not be able to provide quality services.

Personal data is not transferred to third parties.
5.4 International Data Transfer
In the course of our activities, we do not transfer your personal data to companies located outside the country, in countries with adequate data protection guarantees.
5.5 Personal Data Storage
Personal data of system users is not stored or processed.
5.6 Third-Party Service Providers
Links to the privacy policies of third-party service providers used by the application:
6.1. The Parties shall be liable for non-performance or improper performance of their obligations in accordance with this document and the current legislation of the Republic of South Africa.
6.2. The User bears full responsibility for their own actions and Media Content. The Company is not and does not become a party to or participant in any contractual relationships between the User, other users of the Service, and/or third parties.
7.1. The Company has the right to suspend or revoke the User's access to the Service and the Mobile Application immediately and without prior notice in the following cases:
a. If the User, through their Media Content, performs actions that demean national honor and dignity, offend the feelings of citizens in connection with their religious or atheistic beliefs, with the purpose of inciting hostility, intolerance, or discord among population groups on national, racial, ethnic, or religious grounds, as well as direct or indirect restriction of rights or establishment of direct or indirect advantages based on their national, racial, ethnic affiliation, or attitude toward religion; calls for, justifies, or otherwise promotes violence, including terrorism/extremism, and distributes other information prohibited by law;
b. If the User, through the use of the Service's functionality, unlawfully impersonates any other legal entity or representative of a legal entity/organization, thereby misleading others;
c. If the User displays links to Internet resources whose content contradicts the current legislation of the Republic of South Africa;
d. Upon receipt by the Company of corresponding lawful requests from authorized state agencies;
e. If the User otherwise violates the current legislation of the Republic of South Africa or norms of international law.
8.1. This published text of the User Agreement contains all essential terms of the offer to conclude the User Agreement.
8.2. This User Agreement may be amended by the Company unilaterally by publishing a new text of the User Agreement.
8.3. The User confirms their consent to changes in the terms of the User Agreement by continuing to use the Mobile Application. If the User disagrees with the amended version of the User Agreement, the User shall cease using the Mobile Application.
8.4. This User Agreement shall be governed by and construed in accordance with the current legislation of the Republic of South Africa. The titles of articles, placement of clauses, and sequence of the Parties' obligations in the text of the User Agreement do not determine the meaning of its terms: in interpreting its terms, the literal meaning of the words and expressions contained therein shall be determined in accordance with the meaning of terms established by legislative and other regulatory acts governing the legal relations relevant to the subject of interpretation.
